Legal terms and conditions governing MetroTec IT services

1. Acceptance of Terms

By accessing and using MetroTec's website and services, you accept and agree to be bound by these Terms of Service. If you do not agree, please do not use our services. These terms constitute a legally binding agreement between you and Comprehensive IT Services for Business LLC.

2. Service Description

MetroTec provides IT support services including but not limited to:

  • Managed IT services and support
  • Cybersecurity solutions
  • Cloud services and migration
  • Network support and monitoring
  • Help desk and technical support
  • IT consulting and planning

    • 3. Service Level Agreements

    Response Times

    • Critical Issues: 1-hour response time
    • High Priority: 4-hour response time
    • Medium Priority: 8-hour response time
    • Low Priority: 24-hour response time

    Availability

    We strive to maintain 99.9% uptime for managed services. Planned maintenance will be scheduled during agreed-upon maintenance windows with at least 48 hours advance notice.

    4. Client Responsibilities

    Clients agree to:

    • Provide accurate and complete information
    • Maintain current contact information
    • Follow security best practices as recommended
    • Provide reasonable access to systems and facilities
    • Pay invoices according to agreed terms
    • Report issues promptly through designated channels

    5. Payment Terms

    • Monthly services are billed in advance
    • Project work is billed according to the project agreement
    • Payment is due within 30 days of invoice date
    • Late payments beyond 30 days may incur a 1.5% monthly finance charge
    • Services may be suspended after 60 days of non-payment with 10 days written notice

    6. Data Protection and Confidentiality

    We maintain strict confidentiality of all client information and implement industry-standard security measures including encryption, access controls, and regular audits. Clients retain full ownership of their data. MetroTec will not access, use, sell, or disclose client data except as necessary to provide contracted services or as required by law.

    7. Data Breach Notification

    In the event of a confirmed data breach affecting client data, MetroTec will:

    • Notify affected clients within 72 hours of discovery
    • Provide a written incident report within 5 business days
    • Take immediate remediation steps to contain and resolve the breach
    • Cooperate fully with any regulatory investigations
    • Notify relevant authorities as required by applicable law (including Michigan's Identity Theft Protection Act)

    8. Limitation of Liability

    MetroTec's total liability is limited to the amount paid for services in the preceding 12 months. We are not liable for:

    • Indirect, incidental, or consequential damages
    • Loss of data, profits, or business interruption
    • Third-party actions or system failures outside our control
    • Force majeure events (natural disasters, power outages, government actions)

    9. Intellectual Property

    All intellectual property rights in our services, documentation, tools, and methodologies remain with MetroTec. Clients receive a non-exclusive, non-transferable license to use our services during the term of the agreement.

    10. Termination

    Either party may terminate services with 30 days written notice. Immediate termination may occur for:

    • Material breach of this agreement not cured within 10 days of written notice
    • Non-payment of fees beyond 60 days
    • Illegal or harmful activities

    Upon termination, MetroTec will provide client data in a standard format within 30 days and permanently delete all copies thereafter.

    11. Dispute Resolution

    Any disputes will be resolved through the following process:

    1. Good faith negotiation (30-day period)
    2. Mediation through a mutually agreed mediator if negotiation fails
    3. Binding arbitration in Wayne County, Michigan under AAA Commercial Rules

    12. Changes to Terms

    We reserve the right to modify these terms at any time. Material changes — defined as changes affecting pricing, liability, data handling, or service scope — will be communicated to active clients with at least 30 days written notice via email. Continued use of services after the notice period constitutes acceptance of the modified terms.

    13. Governing Law

    These terms are governed by the laws of the State of Michigan. Any legal proceedings will be conducted in the courts of Wayne County, Michigan.
